Terms of Service
1. Agreement to these Terms
By accessing or using Solulu, you agree to these Terms of Service and our Privacy Policy. If you use Solulu on behalf of a business (a venue or an organizer), you confirm you are authorized to bind that business. If you do not agree, do not use Solulu.
2. What Solulu is (and is not)
Solulu is an online platform and ticketing marketplace that connects two independent parties — event organizers and venues — so they can propose, agree, and run events, and sell tickets to guests.
3. Eligibility & accounts
You must be at least [18] and able to form a binding contract. You are responsible for your account, for keeping your credentials secure, and for all activity under your account. Access may currently be invite/allow-list based; we may add, limit, or revoke access at our discretion.
4. Roles
- Venues (hosts): list their space, rooms, food, and facilities; create and send opportunities; set pricing and policies; and honor confirmed events.
- Organizers: review opportunities, apply their fee, build a waitlist, pay the booking deposit, build the event page, and run the event for guests.
- Guests: reserve and purchase tickets to attend an event.
Each party is solely responsible for its own conduct, content, pricing, taxes, licenses, insurance, and legal compliance.
5. The relationship is between the parties — not with Solulu
Any event, booking, agreement, or transaction is directly between the organizer, the venue, and/or the guest. Solulu only provides the platform and facilitates the connection and ticketing. To the maximum extent permitted by law:
- Events & safety. Solulu is not responsible for the planning, conduct, safety, legality, or quality of any event, or for the condition of any venue.
- Injury & damage. Solulu is not liable for any personal injury, illness, death, property damage, or loss arising from an event, a venue, or a party's acts or omissions. Venues and organizers are responsible for appropriate safety measures, permits, and insurance.
- Payments. Solulu facilitates payments (booking deposits, ticket purchases, refunds, payouts) through a third-party processor. Refunds, shortfalls, and deposit outcomes follow the policies the parties agreed; Solulu is not responsible for a party's failure to pay, refund, or perform.
- Disputes. Disputes between users are resolved directly between them. Solulu does not adjudicate, arbitrate, or take sides in user disputes and is not liable for their outcome.
6. Platform trust & enforcement
Although we do not step into disputes, we care about the trust of the community. We may — at our discretion and without assuming any duty or liability — review conduct and take account-level action (such as warnings, feature limits, deprioritization, suspension, or termination) against users who repeatedly fail to honor commitments, cancel improperly, cause harm, or violate these Terms. Such action protects platform trust; it is not a determination of legal fault and does not make Solulu a party to any dispute.
7. Bookings, deposits, tickets & refunds
- Opportunities become binding between an organizer and venue when accepted per the agreed terms (including any waitlist window and booking deposit).
- The booking deposit, minimum-guest shortfall, cancellation terms, and refund rules are set in the agreement between the parties and shown in-app. Solulu applies them mechanically but is not responsible for the amounts, outcomes, or a party's compliance.
- Guests purchase tickets subject to the event's stated price and policies. Refunds to guests follow the applicable cancellation/refund policy.
8. Your content & data
You retain ownership of the content you submit (listings, event pages, images, descriptions). You grant Solulu a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content as needed to operate and promote the platform and the events you list. You are responsible for having the rights to everything you upload. Our handling of personal data is described in the Privacy Policy.
9. Acceptable use
You agree not to: break the law; post false, infringing, or harmful content; circumvent the platform to avoid fees; scrape or attack the service; impersonate others; or misuse another user's data. We may remove content or suspend accounts that violate these Terms.
10. Third-party services
Solulu relies on third parties (payments, hosting, email, maps, authentication, analytics). Your use of features that depend on them may be subject to their terms, and we are not responsible for their acts or outages.
11. Disclaimers
Solulu is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that any event will occur or meet expectations.
12. Limitation of liability
To the maximum extent permitted by law, Solulu and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of (or inability to use) the platform, any event, or any dealings between users. Our total aggregate liability for any claim will not exceed the greater of [the fees Solulu earned from you in the 12 months before the claim] or [USD 100]. Some jurisdictions do not allow certain limitations; those may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Solulu and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your content, your events, your use of the platform, your breach of these Terms, or your violation of any law or third-party right.
14. Termination
You may stop using Solulu at any time. We may suspend or terminate access for violations of these Terms or to protect the platform. Sections that by their nature should survive (e.g., 5, 8, 11–13) survive termination.
15. Governing law & disputes with Solulu
These Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-laws rules. Disputes with Solulu will be resolved in the courts of / by [arbitration in] [VENUE], except where local law grants you other rights. 16. Changes
We may update these Terms. Material changes will be notified (email or in-app), and continued use after the effective date means you accept them.
